01Definitions

• "Valli Media Co" / "We" / "Us": Refers to Valli International Services FZE LLC, trading as Valli Media Co, registered in Ajman Free Zone, UAE. TRN: 105440608500001.
• "Client" / "You": Any individual, business, or organisation that engages Valli Media Co for services.
• "Services": All digital marketing, content creation, branding, social media management, SEO, GEO, performance marketing, web development, events, lifestyle coaching, and any other services offered by Valli Media Co.
• "Agreement": The signed Service Agreement between Valli Media Co and the Client, which incorporates these Terms and Conditions.
• "Deliverables": All content, assets, reports, strategies, websites, and other outputs produced by Valli Media Co for the Client.
• "Confidential Information": Any business, financial, strategic, or personal information shared between the parties in connection with the services.

02Services

• Valli Media Co will provide services as specified in the signed Service Agreement. Any services not listed in the Agreement are not included and will be quoted separately.
• Valli Media Co reserves the right to assign any service or part of a service to qualified freelancers or sub-contractors. Client information will be kept confidential and sub-contractors are bound by confidentiality obligations.
• Valli Media Co will use reasonable professional skill and care in delivering all services.
• Timelines and deliverables are subject to the Client providing all required materials, access, and approvals on time. Delays caused by the Client may result in revised timelines at no fault of Valli Media Co.
• Valli Media Co reserves the right to decline or discontinue services that require the creation of content that is misleading, illegal, discriminatory, or harmful.

03Fees & Payment

• All fees are as specified in the signed Service Agreement and are payable in UAE Dirhams (AED) unless otherwise agreed in writing.
• Monthly retainer fees are due on the 1st of each month. Project fees are due as specified per project.
• Payment is due within 7 days of invoice date unless otherwise agreed in writing.
• A late payment charge of 5% per month applies to any outstanding amount not paid within 14 days of the due date.
• Valli Media Co reserves the right to pause or suspend all services if payment is not received within 14 days of the due date, without liability to the Client.
• All fees are exclusive of VAT. Valli Media Co is currently not VAT registered. Should VAT registration become applicable, the Client will be notified and invoices will be updated accordingly.
• Ad spend budgets, third-party platform fees, domain registration, hosting, stock imagery, and any other out-of-pocket expenses are not included in service fees and will be invoiced separately or paid directly by the Client.
• Payments made are non-refundable unless Valli Media Co fails to deliver the agreed services due to reasons within our control.

04Client Responsibilities

• The Client must provide all required brand assets, logos, photography, product information, account access, and approvals within 3 business days of signing the Agreement or as otherwise agreed.
• The Client is responsible for ensuring that all materials, information, and content provided to Valli Media Co are accurate, lawful, and do not infringe any third-party intellectual property rights.
• The Client must provide timely feedback and approvals. Content submitted for approval is deemed approved if no response is received within 48 hours.
• The Client must designate one point of contact for all communications with Valli Media Co to avoid conflicting instructions.
• The Client must not directly contact, instruct, or engage with any Valli Media Co freelancer or sub-contractor without prior written permission.

05Revisions & Approvals

• The number of included revision rounds is specified in the Service Agreement. Additional revisions beyond the included rounds are chargeable at AED 150 per hour.
• Revisions must be requested in writing via email or WhatsApp with clear, specific instructions. Vague feedback that results in multiple revision rounds may be counted as separate revision requests.
• Fundamental changes to the agreed scope, direction, or strategy after work has commenced are considered new projects and will be quoted separately.
• Final approval of all deliverables rests with the Client. Once final approval is given, further changes are chargeable.

06Intellectual Property

• All deliverables produced by Valli Media Co remain the intellectual property of Valli Media Co until full payment is received.
• Upon full payment, ownership of final approved deliverables transfers to the Client, except as noted below.
• Valli Media Co retains the right to use work produced for the Client in its own portfolio, marketing materials, case studies, and presentations unless the Client requests otherwise in writing prior to project commencement.
• All strategies, frameworks, methodologies, processes, and systems developed by Valli Media Co remain the exclusive intellectual property of Valli Media Co regardless of payment.
• Third-party assets used in deliverables (stock images, fonts, plugins, music) are subject to their own licensing terms. The Client is responsible for ensuring continued compliance with these licenses after delivery.

07Confidentiality

• Both parties agree to keep all business information, strategies, pricing, data, and communications strictly confidential during and for 2 years after the term of the Agreement.
• Neither party shall disclose Confidential Information to any third party without prior written consent, except as required by law.
• Valli Media Co will not share Client data, login credentials, or business information with any party outside those directly involved in delivering the agreed services.
• The Client must not share Valli Media Co's strategies, proposals, pricing, or methodologies with any third party, including competitors of Valli Media Co.

08Data Protection & Privacy

• Valli Media Co handles all Client data in accordance with applicable UAE data protection laws.
• Client data collected in the course of providing services will be used solely for the purpose of delivering those services and will not be sold, shared, or transferred to third parties for commercial purposes.
• The Client is responsible for ensuring they have the appropriate legal basis for sharing any personal data of their customers or contacts with Valli Media Co.
• Upon termination of the Agreement, Valli Media Co will return or securely delete all Client data upon written request.

09Results Disclaimer

Important — please read carefully.

• Valli Media Co does not guarantee specific results including but not limited to follower counts, engagement rates, website traffic, lead volumes, sales figures, search engine rankings, or revenue growth.
• Digital marketing results depend on numerous factors outside Valli Media Co's control including platform algorithm changes, market conditions, competitor activity, budget levels, and the quality of the Client's product or service.
• Valli Media Co will use best professional efforts to achieve the objectives agreed and will provide regular performance reports to keep the Client informed.
• Any projections, forecasts, or estimates provided by Valli Media Co are based on industry benchmarks and professional experience and do not constitute guarantees.

10Limitation of Liability

• Valli Media Co's total liability to the Client in any circumstance shall not exceed the total fees paid by the Client in the 30 days immediately preceding the event giving rise to the claim.
• Valli Media Co is not liable for any indirect, consequential, special, incidental, or punitive damages including loss of profits, loss of data, loss of business, or reputational damage.
• Valli Media Co is not liable for any failure to perform services caused by circumstances beyond our reasonable control including platform outages, algorithm changes, natural disasters, or government actions.
• The Client indemnifies Valli Media Co against any claims, damages, or losses arising from content or materials provided by the Client that infringe third-party rights or violate applicable laws.

11Termination

• By either party: Either party may terminate the Agreement with 30 days written notice via email.
• By Valli Media Co immediately: If the Client fails to pay within 14 days of the due date, breaches any material term of the Agreement, engages in abusive or unethical conduct, or requests services that violate applicable laws.
• By Client early termination: If the Client terminates before the agreed term, any setup fees or one-time fees paid are non-refundable. The Client remains liable for fees for the notice period.
• Upon termination: All access, assets, and materials will be returned within 7 days. Outstanding invoices become immediately due and payable.
• Survival: Clauses relating to confidentiality, intellectual property, data protection, and liability survive termination.

12Social Media Account Management

• When managing social media accounts on behalf of the Client, Valli Media Co will act in the best interests of the Client's brand at all times.
• The Client retains full ownership of all social media accounts. Valli Media Co will never transfer, rename, or make structural changes to accounts without written permission.
• Login credentials provided to Valli Media Co must be kept confidential and will only be used for the agreed service purposes.
• The Client is responsible for maintaining backup access to all accounts at all times. Valli Media Co is not liable for any account suspension, restriction, or loss caused by platform policy changes.
• Upon termination, Valli Media Co will remove its access from all Client accounts within 3 business days and deliver all content assets to the Client.

13Amendments & Entire Agreement

• These Terms and Conditions may be updated by Valli Media Co from time to time. The current version will always be available at vallimedia.co. Continued engagement with Valli Media Co after an update constitutes acceptance of the updated terms.
• These Terms and Conditions, together with the signed Service Agreement, constitute the entire agreement between the parties and supersede all prior discussions, proposals, and representations.
• Any amendments to the Service Agreement must be made in writing and signed by both parties.
• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

14Governing Law & Disputes

• These Terms and Conditions are governed by the laws of the United Arab Emirates.
• Any dispute arising from or relating to these Terms or any Agreement shall first be referred to good faith negotiation between the parties for a period of 30 days.
• If the dispute cannot be resolved through negotiation, it shall be referred to the competent courts of Dubai or Ajman at the sole discretion of Valli Media Co.
